These Terms & Conditions govern your access to and use of the SmartUnifolio website and the services offered through it. By creating an account, browsing our catalogue, or placing an order or quote request with us, you agree to these terms.

We provide corporate apparel, uniforms and branded merchandise, along with embroidery, branding and custom design services. These terms apply to every user of the platform, including individual customers, businesses placing bulk orders, and authorised representatives acting on behalf of an organisation.

Please read these terms carefully before placing an order. If you do not agree with them, you should not use the website or create an account.

Smart Unifolio is a corporate apparel and branding business offering custom uniforms, T-shirts, trousers, shirts, caps, bags and related apparel, together with embroidery, logo design and bulk order services. The website is operated by Smart Software Services (I) Pvt. Ltd., with its office at First Floor, Survey No. 21, Ganesham Commercial-A, Office No. 102-A, Aundh - Ravet BRTS Rd, Pimple Saudagar, Pune, Maharashtra 411027.

We supply to individual customers as well as organisations requiring uniform and apparel programmes for their teams.

You must be legally able to enter into a binding contract in order to use this website and place an order. If you are registering on behalf of a company or organisation, you confirm that you are authorised to act on its behalf.

An account may be used only by the person or organisation it belongs to:

• Registration information must be accurate, current and complete. You are responsible for keeping it up to date.
• One person or organisation may not create multiple accounts to bypass order quantities, pricing, or any other applicable limit.
• Accounts are for legitimate business and personal use. We may suspend or terminate access where an account is used for fraudulent, abusive or unlawful activity.

You are responsible for the security of your account and for all activity that takes place under it.

• Keep your login credentials confidential and do not share your account details with anyone, including with SmartUnifolio staff.
• Choose a password that is not easy to guess, and notify us promptly if you believe your account has been accessed without your authorisation.
• We will never ask you for your password by email, phone or message. Please do not share it with anyone who does.
• You are responsible for keeping your contact details current so we can reach you about orders, quotations and account security events.

If you suspect unauthorised access, contact us at support@smartunifolio.com so that we can assist you in securing your account.

We offer corporate apparel and related merchandise across categories including T-shirts, trousers, shirts, caps, bags and other apparel, with customisation and branding options.

We take care in describing our products, including materials, dimensions, colours and available customisation. However, photographs and on-screen colours are for guidance only and may not be an exact representation of the finished garment. Screen calibration and the nature of fabric mean that small variations in shade or finish can occur between the displayed image and the delivered product.

Product details, options and availability may change from time to time. Where a specific characteristic matters to your requirement — fabric composition, sizing tolerance, colour matching or decoration method — please raise it with us before ordering so it can be confirmed in writing.

Prices displayed on the website should be treated as indicative base pricing. They are not a final offer and are not a complete statement of what an order will cost.

The final commercial price for your requirement may vary depending on:

• the quantity ordered, including volume or tier pricing;
• the garment, fabric, colour and size options selected, and any minimum order quantity that applies to the product;
• the type, size and number of logos, embroidery, printing or other branding applied;
• design, digitising, sampling or artwork preparation charges;
• delivery location, method and turnaround you require;
• taxes, duties and any other applicable charges.

Where we provide a quotation, the pricing, taxes and commercial terms set out in that quotation apply to that quotation, and take precedence over the indicative pricing shown on the website.

Prices shown on the website may not include all applicable taxes. GST and other taxes, duties and statutory charges are calculated and shown separately where applicable, including in our quotations and order summaries.

If your requirement includes a GSTIN or other business tax information, please provide it accurately in your quote request so the correct treatment can be applied. You are responsible for ensuring that the tax details you provide are valid and belong to you. Any tax amount charged may be changed if the information you supplied turns out to be incomplete or incorrect.

Charges such as tooling, sampling, design, freight or other special costs, where applicable, are communicated to you before or at the time of order confirmation.

You can place an order directly through the website, or submit a quote or request-for-quotation (RFQ) for larger or more specific requirements. Both routes are available; which one applies depends on the nature of your requirement.

When submitting a quote request, please ensure the information you provide is accurate, including:

• product or garment type and quantity required;
• colours, sizes and fabric preferences;
• the number and type of logos, and the positions and sizes you want them applied;
• your delivery location and the timeline you need;
• your company, billing and GST details, where these are required for a quotation.

Quote requests are subject to review by our team. Incomplete or unclear requests may require clarification before a quotation can be prepared. Customisation, quantity and delivery requirements are significant inputs into pricing, so the figures you submit should reflect your actual requirement.

A quotation issued by SmartUnifolio is an offer to supply at the prices and terms stated in it, and remains subject to the validity period shown on that quotation. Submitting a quote request does not itself create a confirmed order or commit either of us to supply. A contract arises only when an order is accepted, or a quotation is accepted by you and confirmed by us.

Many of our products can be personalised with embroidery, printing, patches, monogramming or other branding. Where you use our design tools or upload artwork, the accuracy of the finished product depends on the quality and suitability of the files you supply.

• Artwork should be supplied in a high-resolution, print- or embroidery-ready format. Low-resolution, highly compressed or unsuitable files may not produce an accurate result.
• Final colours, placement, scale and orientation are confirmed with you before production where a proof or sample is required.
• Digitising, design setup, sampling or rework charges may apply and are communicated before or at order confirmation.
• Where dimensional tolerances apply to embroidery or branding, the finished work will be produced to normal industry tolerance for the process.

Availability of fabrics, colours, sizes and branding options can change, and an item shown on the website may not always be in stock or available in the quantity you require. Where availability affects your requirement, we will contact you with alternatives.

If any item in your order becomes unavailable, we will inform you and offer a suitable alternative or cancel that portion of the order. If an order is cancelled in whole or in part, any amount already paid in respect of the cancelled portion will be dealt with in accordance with section 13.

Payment arrangements are confirmed at the point of order, in the quotation, or in the order summary we send you. We do not process card payments through an online payment gateway on this website.

Where a quotation is issued, it will set out the applicable payment terms. Amounts, the stage at which payment is due, and the accepted method are confirmed in that quotation or in our written order confirmation.

Please include a valid reference with your payment so that it can be matched to your order. Payments are applied to your account only once received and identified. If payment is not received when due, we may decline to process or dispatch the order.

Delivery timelines are estimates and are confirmed in your quotation or order confirmation. Production timelines for customised and branded goods begin from the point at which final artwork, approvals, payment or other outstanding requirements are received — not from the date of enquiry.

• Estimated delivery dates are approximate and depend on order size, customisation complexity, approvals and material availability.
• Delays caused by late approvals, artwork changes, or information required from you may extend the timeline.
• Delivery is subject to the destination, carrier availability and events beyond our reasonable control.
• Please inspect goods on receipt and raise any transit damage or shortage promptly, as it is far easier for us to address it early.

We do not offer guaranteed or fixed delivery dates unless a specific commitment is expressly stated in a quotation or written confirmation we have accepted.

Cancellations and changes are handled according to the stage the order has reached, because work already started on customised goods cannot simply be undone.

• Requests to cancel or change an order should be made as early as possible by contacting us with your order number.
• Cancellations or changes requested before production begins may be accommodated, subject to any design or preparation work already carried out being chargeable.
• Once production, embroidery or branding has commenced, cancellation or changes may not be possible, and costs incurred to that point may be payable.
• Any amount paid in respect of goods that cannot be supplied will be dealt with in accordance with the applicable order terms.

We want you to be satisfied with the goods you receive, and we handle returns, replacements and concerns individually and fairly.

Customised, personalised and branded goods — including anything embroidered, printed or made to your specification — cannot ordinarily be returned, exchanged or refunded, because they are produced to your requirement and are generally not resaleable. This does not affect your rights where goods are faulty, damaged in transit, or not as described.

If you believe there is a problem with your order, please contact us at support@smartunifolio.com with your order number, photographs where relevant, and a description of the issue. We will review it and determine with you an appropriate resolution, which may involve a replacement, a correction, a credit note or a refund, depending on the circumstances. The specific arrangement applicable to your order is confirmed in your quotation or order confirmation.

You agree to use the website lawfully and in good faith. In particular, you must not misuse the platform, attempt to gain unauthorised access to any part of the website or its underlying systems, interfere with the operation or security of the service, or misrepresent your identity or your organisation's authority.

The SmartUnifolio name, logo, website content, product photography, catalogue text, designs and the underlying software of this website are owned by or licensed to Smart Unifolio and are protected by applicable intellectual property laws. All rights are reserved.

You may view, browse and print pages for your own business or personal reference. You may not copy, reproduce, publish, republish, frame, modify, distribute or commercially exploit any part of the website or its content without our prior written permission. SmartUnifolio names, logos and brand marks may not be used to imply endorsement or association without written consent.

When you upload a logo, design, image, trademark or other artwork to us — through a custom design order, an embroidery or logo request, a quote request, or the design tools on this website — you confirm that you hold the necessary rights and permissions to use that material.

• You must own the artwork, or have obtained the licence, consent or authorisation required to reproduce, adapt and embroider it, to produce goods for sale, and to allow us to use it for that purpose.
• This includes ensuring you have permission where artwork features a third party's trademark, logo, name, likeness, copyright work or other protected right.
• You must not upload material that is unlawful, infringing, defamatory, misleading, or that you have no right to use.
• You grant us the licence needed to host, process, reproduce, digitise, embroider, print and otherwise use your uploaded material for the purpose of quoting, producing and delivering your order.

SmartUnifolio does not guarantee or warrant that your uploaded artwork is legally cleared, and does not undertake an independent rights check on it. Clearance of your artwork is your responsibility. We may decline or suspend any work where we reasonably believe the material infringes a third party's rights. You agree to indemnify us against claims, damages and reasonable costs arising from artwork you supply that infringes the rights of others.

You must not use the website to:

• upload or submit unlawful, infringing or misleading material;
• attempt to access, modify or disrupt the website, its servers, accounts or any connected system;
• introduce viruses, malicious code or any technology that may harm the website or its users;
• scrape, harvest, mine or extract content, data or product information by automated means without our written permission;
• use the website to transmit unsolicited commercial communications, spam, or misleading advertising;
• impersonate any person or entity, or misrepresent your affiliation or authority;
• use the website for any purpose that is unlawful, fraudulent or contrary to these terms.

The website may link to, or make available the content of, third-party websites or services. These are provided for convenience and are not under our control. We are not responsible for the content, accuracy, availability or practices of any third-party site, and your dealings with them are between you and that provider. Any link does not imply endorsement of the third party or its content.

We take reasonable care to keep the website available and to keep your information secure, but we do not guarantee that the website will be uninterrupted, error-free, or continuously available. Access may be suspended temporarily for maintenance, upgrades, or reasons beyond our reasonable control, and features may be changed or withdrawn.

We are not liable for any delay or failure to perform arising from causes beyond our reasonable control, including acts of God, natural disasters, war, civil unrest, industrial action, government action, epidemic or pandemic, interruption of utilities, communications or transport networks, or failures of third-party suppliers or carriers.

Nothing in these terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded or limited.

We may update these Terms & Conditions from time to time to reflect changes in our business, products, services or applicable law. The "Last updated" date at the top of this page shows when the current version took effect.

Your continued use of the website after an update means you accept the revised terms. If you do not agree with them, you should stop using the website. Where a change materially affects an order already placed or a quotation already issued, that order or quotation continues to be governed by the terms in effect when it was placed or issued.

These Terms & Conditions are governed by and construed in accordance with the laws of India. Subject to the following, the courts at Pune, Maharashtra have exclusive jurisdiction.

We encourage you to raise any concern with us first and contact us at support@smartunifolio.com. We will make reasonable efforts to resolve the matter promptly and fairly. If a dispute cannot be resolved amicably, either party may pursue it before the competent courts at Pune, Maharashtra.
